Federal Corporation Names & Pre-approvals
All Federal corporation names must be pre-approved before the incorporation
can be submitted. Even if a NUANS Name search has been completed and there appears to be no conflicting
names it must be examined and pre-approved by a Federal examiner at Corporations Canada.

Name Pre-approvals
To ensure a name is pre-approved in a timely manner the following information is required:
- the proposesed name;
- business activities: nature of business, clientele and territory of operation;
- how the name was derived: explanation of the distinctive element:
Example: Jackson Consulting Inc. Is 'Jackson'
the name of a person? a place? an idea?

Form 1 - Articles of Incorporation - CBCA
This form together with the required supporting NUANS name search (for named corporation)
must be file with the Corporations Canada to incorporate a Federal Corporation under the
Canada Business Corporations Act (CBCA).
All Federal names must be pre-approved before the incorporation can be submitted.
See pre-approval section for more details.
Electronic Filings
The following information must be provided on the supplied form or can be
emailed to our office for processing:
1. The proposed corporation name (NUANS with pre-approval if a named corporation)
2. The Province or Territory of the registered head office in Canada.
3. The classes and any maximum number of shares authorized to issue.*
4. The restrictions on share transfer (if any)*.
5. Number or minimum and maximum number of directors
6. Restrictions, if any, on the business of the corpoation
7. Other provisions*
*Corporations Canada supplies pre-defined text for the 'classes and number of shares',
'restrictions on transfer' and 'other provisions'. Using these templates
will speed up the incorporation process.
Once all the outlined information is uploaded to the system a draft incorporation document is provided
to clients in PDF format for approval prior to final submission. Signatures are not required to complete
the incorporation. The completed incorporation documents arrive via email.
Share classes, restrictions and other provisions other than the pre-defined text supplied by Corporations
Canada will have to be reviewed by an examiner.
There is no pre-approval requirements for numbered Federal Corporations.

Will the Corporation operate in Ontario?
Extra-Provincial License
At the time of incorporation the Extra-Provincial License for Ontario
can be submitted electronically. The following information is required:
- Address of the Registered or Head Office
- Address of Principal Office in Ontario (if different)
- Name and office address of the Chief Officer/Manager in Ontario
- Name of the person authorizing this filing (must be a director, officer or other individual having
knowledge of the affaris of the corporation)
- Method of delivery: regular mail, Ministry pick-up box or email
A confirmation of filing is provided once all the information above is entered, however, the OCN - Ontario Corporation
Number is not issued for a minimum of 48 hours.

Note: If the Federal Corporation wishes to operate a business name under the Business Names Act it
must file and Extra-Provincial License and have a valid Ontario Corporation

Federal Articles of Amendment - CBCA
Federal Articles of Amendment can be filed electronically are used
to make the following changes to the corporation:
- The Corporation Name*
- The Province or Territory in Canada of the registered office (not required to change the address
within the same Province or Territory)
- The minimum and/or maximum number of directors
- Changes to classes of shares, restrictions on transfer, restrictions on the business or any
other provisions permitted by the CBCA
All details outlined above can be emailed to our office for processing with Corporations Canada. Changes to
classes, restrictions or other provisions should be sent in an electronic format for easy upload to the Federal system.
Documents sent by fax are not suitable.
*A NUANS Name search and pre-approval will be required for name changes.

Notice of Change in Registered Office Address,
Changes Regarding Directors
Notice of change in registered office, mailing address and regarding directors
can be filed electronically. See details below.
Change in Registered Office/Mailing Address:
The following information is required:
- The complete Corporation Name and Number
- The new Registered Office address and mailing address (if different)
- The name and position of the person authorizing the change
Subsection 19(4) of the Canada Business Corporations Act (CBCA) requires a corporation to send notice
to Corporations Canada within 15 days of any change to its registered office address.
Change in Directors:
The following information is required:
- The complete Corporation Name and Number
- The newly appointed directors (complete names and effective dates)
- Any directors that are ceased (complete names and cease dates)
- Complete list of board of directors including newly appointed ones.
- The name and position of the person authorizing the changes
Subsection 113(1) of the Canada Business Corporations Act (CBCA) requires a corporation to send notice
to Corporations Canada within 15 days of any change involving a director of the corporation.

Note: Misrepresentation constitutes an offence and, on summary conviction, a person is liable to a fine not exceeding
$5000 or to imprisonment for a term not exceeding six months or both (subsection 250(1) of the CBCA).

- The year of filing and the taxation year-end
- The date of the last annual meeting of shareholders or date of written resolution in lieu of meeting

- Non-distributing corporation with more than 50 shareholders
- Distributing corporation
